4. Intellectual Property Rights
Client-Owned Work: Upon full payment, all custom work product specifically created for you becomes your property, as specified in the project agreement.
VerceLabs Property: We retain ownership of our proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services.
5. Payment Terms
Payment terms are specified in individual project agreements. Standard terms include:
- Initial deposit required to commence work
- Milestone-based payments for larger projects
- Final payment due upon project completion
- Late payment fees may apply after 15 days
6. Confidentiality
We treat all client information as confidential and will not disclose any proprietary information without prior written consent, except as required by law. We may use non-confidential project details in our portfolio and marketing materials unless otherwise agreed.
7. Warranties and Disclaimers
Limited Warranty: We warrant that services will be performed in a professional manner consistent with industry standards.
Disclaimer: Services are provided "as is" without any other warranties, express or implied. We do not guarantee specific business results or outcomes from our services.
8. Limitation of Liability
VerceLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability is limited to the amount paid for the specific service giving rise to the claim.
9. Project Changes
Changes to project scope require written approval and may result in adjusted timelines and fees. We will provide estimates for any requested changes before proceeding.
10. Termination
Either party may terminate a project engagement with written notice as specified in the project agreement. Client is responsible for payment of all work completed and expenses incurred up to the termination date.
11. Third-Party Services
Our services may integrate with third-party platforms, APIs, and services. You are responsible for complying with third-party terms and for any costs associated with third-party services.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which VerceLabs operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
